Enrique Rodríguez del Bosque

Mr. Rodríguez del Bosque founded RB Abogados in 1993, where he specializes in mining, mergers and acquisitions, project finance and general corporate matters.

Mr. Rodríguez del Bosque obtained his law degree (JD) from the Instituto Tecnológico Autónomo de México (ITAM), in 1995.   He made a Training NAFTA Diploma at ITAM in collaboration of the Ministry of Economy.  He obtained a Tax Law Diploma at Universidad Nacional Autonoma de Mexico in 1994.  He studied the Negotiation and Leadership Program at Harvard Law School in 2013.

Before founding the Firm, Mr. Rodríguez del Bosque, worked, from 1982 to 1985, as law student in Luismin, México. He was an associate in Creel, García-Cuéllar & Müggeburg from 1986 to 1993, where he participated in major corporate, finance and mining transactions.

Academy: Professor at ITAM Law School “Corporations” (1987-1995).  Professor “Corporate Law” at ITAM MBA School.  Professor at ITAM Law Masters Degree “Corporate and Transactions Law” 2002 to date.

She is a partner with RB Abogados since January 2014, where she specializes in mergers and acquisitions, project finance  and general corporate matters.

Ms. Güemes obtained her law degree (JD) with honors, from the Instituto Tecnológico Autónomo de México (ITAM), in 1990.

She worked in the Mexican law firm  Creel, García-Cuéllar, Aiza y Enriquez, S.C. since she was a law student in 1989 and remained in the firm until February 2013.

For several years, Ms. Güemes has actively represented various companies in international mergers and acquisitions, joint ventures, reorganizations and cross-border acquisitions. She has advised large multinational companies established in Mexico, operating within various sectors, including Eaton Corporation, The Mexico Fund, Inc., McKesson HBOC, The Pepsi Bottling Group, Warner Brothers, Wireco World Group, Nucor Corporation, Auto Zone, Inc., J.M. Levarht & Zn. B.V., Vulcan Materials Company, among others. She also provides legal advise to large private equity funds in their investments in Mexico.

The following are some of the most relevant transactions in which Ms. Güemes has participated:

•     Counsel to Grupo CIMSA, in the merger of its beverage business with Coca-Cola FEMSA the largest public bottler of Coca-Cola products in the world, in terms of sales volume with an enterprise value of Mx. $11,000 million (December 2011).

•     Counsel to KPS Capital Partners LP in the acquisition of the Mexican subsidiaries of American & Efird (October 2011).

•     Mexican counsel to Blake International USA Rigs, LLC (“Blake”) in connection with the preparation, execution and delivery of a Credit Agreement and related guaranty documents, between Blake, as Borrower, and Navix de México, S.A. de C.V., Sociedad Financiera de Objeto Múltiple, E.N.R., as Lender. Blake obtained a credit line up to USD $61.5 million, for the acquisition of certain drilling platform rigs to be leased to Pemex Exploración y Producción (“PEP”), which was guaranteed through Mexican Guaranty Trusts holding the collection rights under the PEP lease contracts as well as the acquired rigs. (August 2011).

•     Counsel to Cablemas in the sale of 100% equity to Televisa (April 2011).

•     Counsel to NextiraOne Mexico in the sale of 100% equity to Sonda Mexico (August 2010).

•     Counsel to Medi Access S.A.P.I. de C.V. in its joint venture with WAMEX (January 2010).

•     Counsel to Gas Natural SDG, S.A. in the acquisition from Electricité de France International of its five power-generation projects and related natural gas pipeline located in Mexico, which included the regulatory and corporate review of the projects, as well as advising the prospective buyer on commercial, regulatory and competition matters (December 2007).

•     Legal Auditor of the Bolsa Mexicana de Valores (Mexican  Stock Exchange) (from 1997 to 2002).

•     Counsel in major acquisitions by foreign multinationals: Grupo GEPP, Grupo Iusacell; Anheuser-Busch Companies, Warner Brothers.

Olga Patricia Martínez Perez

Olga Martínez is an associated of RB Abogados since July 2007, where she specializes in legal and administrative aspects of the mining industry, conduction of due diligences over mining projects, lobbying with governmental authorities of the mining industry, mergers and acquisitions and general corporate matters.

She studied in the Escuela Libre de Derecho and the Universidad Tecnológica de México (“UNITEC”).

Before joining RB Abogados, she worked at the Legal Department of the General Bureau of Mining Regulation (“GBMR”) when she was a law student from 2002 to 2005. She was in charge of resolving administrative appeals interposed against resolutions issued by the GBMR and resolving temporary occupations administrative proceedings submitted by the particulars for the use of the surface where the mining concessions are located.

From 2005 to 2007, she worked with Mr. Jorge Ordóñez as legal consultant in mining matters and relationship with governmental authorities of the mining industry.
